TERMS OF SERVICE

1. AGREEMENT TO TERMS

These Terms of Service constitute a legally binding agreement made between you and Scrum Jam ("we," "us," or "our"), concerning your access to and use of the https://www.scrumjam.app website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site" and "Services").

You agree that by accessing the Site and/or Services, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the Site and Services and you must discontinue use immediately.

2. SERVICE DESCRIPTION

Scrum Jam is a real-time agile collaboration platform that allows teams to run Planning Poker estimation sessions and Retrospective meetings. The service includes:

  • Real-time Planning Poker sessions for task estimation
  • Real-time Retrospective sessions (Start-Stop-Continue, 4Ls, Mad-Sad-Glad, KALM, Sailboat, Rose-Thorn-Bud, and other templates)
  • Team workspace with membership management and persistent session history
  • AI-powered features (AI avatar generation, AI retrospective summaries) — see Section 20
  • Jira integration capabilities
  • User authentication and management
  • Session management and persistence
  • Analytics and performance monitoring

3. USER REGISTRATION AND ACCOUNT

3.1. You can register using:

  • Email and password
  • Google OAuth
  • Facebook OAuth

3.2. Account Requirements:

  • You must provide accurate and complete information
  • You are responsible for maintaining account security
  • You must notify us of any unauthorized access
  • You may not share accounts or credentials
  • You must be at least 13 years old to use the service

3.3. Account Termination:

  • We reserve the right to suspend or terminate accounts for violations
  • You can request account deletion at any time
  • Account deletion will remove all associated data after the retention period

4. INTELLECTUAL PROPERTY RIGHTS

4.1. Our Rights:

  • All aspects of the Service are owned by us or our licensors
  • The Service code, design, and functionality are protected by copyright
  • Our trademarks and trade dress may not be used without permission

4.2. Your Rights:

  • You retain rights to content you create
  • You grant us license to use your content to provide the Service
  • You may export your data at any time

5. USER CONDUCT

You agree not to:

  • Use the service for any illegal purpose
  • Attempt to gain unauthorized access
  • Interfere with or disrupt the service
  • Circumvent rate limits (1000 requests per 10 minutes)
  • Circumvent session creation limits, in-session content limits, or other monetization gates (e.g., by creating multiple accounts, multiple teams, or using automation)
  • Share authentication tokens or credentials
  • Reverse engineer the application
  • Create multiple accounts for abuse or to reset usage counters
  • Use automated tools without permission
  • Harass or abuse other users
  • Upload inappropriate, offensive, or illegal content to AI features (e.g., AI avatar generation)

6. THIRD-PARTY SERVICES

6.1. We use third-party services for:

  • Authentication and data storage (Firebase / Google Cloud Platform)
  • File storage (Firebase Storage — for avatars and team logos)
  • Real-time communication (Socket.io)
  • Analytics (PostHog, Google Analytics)
  • Task management (Jira integration)
  • Payments (Stripe)
  • AI features (OpenAI, Google Gemini) — see Section 20

6.2. By using our Service, you acknowledge:

  • These services have their own terms and privacy policies
  • We are not responsible for third-party service availability
  • Third-party integrations may be modified or discontinued
  • You must comply with Atlassian's terms when using Jira integration
  • You must comply with Stripe's terms when making payments; payment processing is handled by Stripe, and we do not store full card details
  • AI features rely on third-party AI providers (OpenAI, Google) whose availability and capabilities may change; see Section 20

7. DATA AND SECURITY

7.1. We implement security measures including:

  • TLS 1.2+ encryption
  • Role-based access control
  • Regular security audits
  • Automated monitoring
  • Rate limiting
  • Data encryption at rest

7.2. You acknowledge:

  • No system is 100% secure
  • You are responsible for your account security
  • You must report security concerns promptly
  • We may update security measures without notice

8. SERVICE AVAILABILITY AND SUPPORT

8.1. Service Level:

  • We strive for high availability but don't guarantee uptime
  • Maintenance windows may affect availability
  • We provide reasonable technical support
  • Service may be impacted by third-party dependencies

8.2. Modifications:

  • We may modify or discontinue features
  • We will provide reasonable notice of major changes
  • We may update these terms with notice

9. JIRA INTEGRATION

9.1. When using Jira integration:

  • You must have appropriate Jira permissions
  • You are responsible for data synced to/from Jira
  • Tokens are encrypted and stored securely
  • Integration may be affected by Jira API changes
  • We don't modify your Jira data without permission

10. LIMITATION OF LIABILITY

10.1. We are not liable for:

  • Data loss or corruption
  • Service interruptions
  • Third-party service issues
  • Unauthorized access
  • Misuse of the service
  • Indirect or consequential damages

10.2. Our total liability is limited to:

  • The amount you have paid for the Service (including any legacy Lifetime purchase, if applicable)
  • Or $100, whichever is greater

11. INDEMNIFICATION

You agree to indemnify and hold us harmless from any claims resulting from:

  • Your use of the Service
  • Your violation of these terms
  • Your violation of any rights of another
  • Your content or data

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania. You and Scrum Jam irrevocably agree that the courts of Vilnius, Lithuania shall have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms.

13. CHANGES TO TERMS

13.1. We reserve the right to modify these terms at any time. We will notify you of any changes by:

  • Posting the new Terms on the Site
  • Sending an email to registered users
  • Displaying a notice in the application

13.2. Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

16. USE OF NAMES AND LOGOS

We may display the names and/or logos of companies whose teams use our services for factual and descriptive purposes only. Such use does not imply any endorsement, sponsorship, or affiliation unless explicitly stated.

If you are a trademark owner and would prefer that your name or logo not appear on our website or in our marketing materials, please contact us at info@scrumjam.app. We will promptly remove it upon request.

17. PRICING, PAYMENTS, AND FREE-TIER LIMITS

17.1. Service Tiers:

The Service operates on a freemium model with the following tiers:

  • Public Rooms (Free, no account required): Anyone can join and participate in public Planning Poker and Retrospective sessions. Public sessions are subject to content limits (see Section 17.2).
  • Team Workspace (Free): Registered users can create a team workspace with membership management, persistent session history, and up to 5 free sessions per team.
  • Team Pro Subscription: Paid teams use monthly or annual subscriptions for unlimited sessions and premium features. Pricing is shown on the pricing page.

17.2. Free-Tier Usage Limits:

The following limits apply to free-tier usage. These limits are designed to provide a fair trial experience and are enforced automatically:

  • Session creation limit per team: Free teams can create up to 5 sessions (Planning Poker and/or Retrospective combined). After reaching this limit, an active Pro subscription is required to create additional sessions.
  • Session creation limit per user: Anonymous users can create up to 2 sessions (then must sign up). Registered users: 5 sessions without a team, 10 sessions when they have a team. Limits are lifetime and non-resettable. After reaching the limit, create sessions within a paid team workspace.
  • Public poker sessions: Unlimited task list, but only up to 5 issues can be voted on per session.
  • Public retrospective sessions: Unlimited cards during the session, but only the default template (Start-Stop-Continue) is available when creating a public retro session.
  • Public session data retention: Public session data is retained for 24 hours only.

Usage counters (total sessions created per user, sessions per team) are lifetime values and cannot be reset. Creating multiple accounts or teams to circumvent these limits is a violation of these Terms (see Section 5).

17.3. Legacy Lifetime Access (No Longer Sold):

  • Legacy Lifetime purchases granted non-recurring access for a specific team workspace. New purchases are no longer offered.
  • The license applies to the team, not individual users. All current and future members of the team benefit from the license.
  • Payments are processed by Stripe. By purchasing, you consent to sharing necessary billing information with Stripe. We do not store full card details.
  • Legacy Lifetime access is non-transferable between teams.

17.4. Refunds:

  • Because legacy Lifetime access provided immediate permanent access, refunds were generally not available after purchase.
  • Refund requests will be considered on a case-by-case basis within 14 days of purchase, particularly where the Service was not delivered as described or where required by applicable consumer protection law (including EU/EEA consumer rights under the Consumer Rights Directive).
  • EU/EEA consumers: You have the right to withdraw from a digital content purchase within 14 days, unless you have expressly consented to the performance of the contract beginning during the withdrawal period and acknowledged the loss of your right of withdrawal. By completing a digital purchase, you consent to immediate access and acknowledge that you may lose your right of withdrawal once the digital content has been delivered.

17.5. Price Changes:

  • We reserve the right to change subscription pricing at any time. Price changes apply prospectively and do not retroactively alter already-paid periods.
  • Teams with legacy Lifetime access retain those benefits; this does not apply to new teams on subscriptions.

17.6. Legacy Subscriptions:

  • Previous recurring subscription plans (Pro Team, Pro Company) are no longer offered to new users. Existing subscribers retain their benefits until their subscription ends or is cancelled.
  • The Terms applicable to legacy subscriptions remain as stated at the time of purchase and are not modified by this section.

17.7. Access and Roles:

  • Access to team functionality depends on your role (Owner, Team Lead, Member) and team settings, including domain-based auto-join where enabled.
  • Members per team: up to 30.

18. MARKETING COMMUNICATIONS

18.1. By creating an account and providing your email address, you acknowledge that we may send you occasional marketing communications about:

  • New features and product updates
  • Tips and best practices for using our Services
  • Special announcements and promotional offers

18.2. Marketing Email Practices:

  • We send marketing emails infrequently (typically a few times per year)
  • All marketing emails include a clear and functional "Unsubscribe" link
  • We track link clicks in marketing emails for analytics purposes only
  • We do not sell or share your email address with third parties for their marketing purposes

18.3. Your Choices:

  • You can unsubscribe from marketing emails at any time by clicking the "Unsubscribe" link in any marketing email
  • Unsubscribing is immediate and permanent until you choose to re-subscribe
  • Unsubscribing from marketing emails will NOT affect service-related communications (e.g., account notifications, security alerts, subscription updates)

18.4. Legal Basis:

  • We send marketing emails to existing users based on legitimate interest under GDPR Article 6(1)(f) and the "soft opt-in" provisions of the EU ePrivacy Directive
  • For users in jurisdictions requiring explicit consent, we will obtain such consent before sending marketing communications

19. SERVICE PROVIDER

The Service is operated by a sole proprietor (individual activity) based in Lithuania. For legal, billing, or support inquiries, contact info@scrumjam.app.

20. AI-POWERED FEATURES

20.1. The Service includes optional AI-powered features:

  • AI Avatar Generation: Upload a photo or take a selfie to generate a cartoon-style monkey avatar. Your photo is sent to third-party AI providers (e.g., OpenAI for face analysis; Google Gemini or OpenAI for image generation) only for that generation request. We do not store your original photo or selfie on our systems—it is used transiently to produce the avatar. Only the generated avatar image is stored (for example in our file storage) as your profile picture if you choose to apply it.
  • AI Retrospective Summary: Generate a structured AI summary of a retrospective session. Card text, votes, and action points are sent to OpenAI to produce the summary.
  • AI Retrospective overview (session card): When a paid team retrospective ends, a short plain-text overview may be generated from the same session data and stored on the session for your team history.

20.2. By using AI features, you acknowledge and agree:

  • Your data (photos for avatars, session content for summaries) is transmitted to third-party AI providers (OpenAI, Google) for processing.
  • AI avatars: Your uploaded photo or selfie is not retained by us after generation; only the generated avatar may be stored if you apply it. AI-generated content (avatars, summaries) is provided "as-is" without warranty of accuracy, quality, or fitness for a particular purpose.
  • Marketing use of AI avatars: When you generate an AI avatar through the Service, you grant Scrum Jam a worldwide, royalty-free license to use, reproduce, and display that generated avatar (not your original photo) on Scrum Jam marketing materials, including our website, landing pages, social media, and similar promotional channels, for the purpose of illustrating the product. We will not use your original upload or selfie for marketing. If you prefer that a specific generated avatar not be used in marketing, contact us at info@scrumjam.app and we will honor reasonable requests where practicable.
  • You are responsible for reviewing AI-generated content before using or sharing it.
  • We are not liable for any errors, inaccuracies, or inappropriate content in AI-generated outputs.
  • AI providers may reject content that violates their usage policies (e.g., inappropriate images).
  • AI feature availability depends on third-party provider availability and may be modified, limited, or discontinued at any time without notice.
  • AI-generated avatars are cartoon representations and do not constitute biometric data.

20.3. Photo Upload Requirements (AI Avatar):

  • You must only upload photos of yourself or photos you have the right to use.
  • Do not upload photos of minors, inappropriate content, or photos of other people without their consent.
  • Your photo or selfie is transmitted to AI providers for processing only to generate the avatar. We do not keep your original image on our servers after that process; only the resulting generated avatar may be saved if you apply it as your profile picture (and that stored image may be used as described in Section 20.2 regarding marketing).

20.4. AI Retrospective Summary:

  • AI summaries are available only for team sessions with an active Pro subscription or legacy Lifetime access.
  • The content of your retrospective cards and action points is sent to OpenAI for summarization. Personally identifiable information (names, emails) is not included in the data sent to AI providers.
  • Full structured summaries are generated on-demand and are not stored permanently.
  • Short session-card overviews are generated when a retrospective ends (or when you use “End session and generate overview”) and are stored on the session record until the session is resumed or removed.
